These Terms and Conditions (“Terms”) govern your subscription to the market analysis reports (“Reports”) provided by Airline Metrics Pty Ltd (“we”, “us”, “our”). By subscribing, you agree to these Terms.

1. Definitions

“Subscriber” means the individual or entity that subscribes to the Service.

“Service” means access to Reports delivered in PDF, CSV or via an online portal.

“Fees” means the subscription and any additional charges set out in the Fees Schedule.

2. Subscription and Licence Grant

  1. Upon full payment of Fees, we grant each Subscriber a non-exclusive, non-transferable licence to access and use the Reports for its internal business purposes only.
  2. Individual licence permits use by one named individual. Corporate licence permits use by employees of the Subscriber’s organisation.
  3. Subscriber may not sublicense, resell, redistribute or otherwise make Reports available to third parties.

3. Fees and Payment

  1. All Fees are payable annually in advance.
  2. No free trial is offered.
  3. All sales are final. Subscriber may terminate at any time; termination does not entitle Subscriber to a refund.

4. Delivery of Reports

  1. Reports are delivered via email (PDF/CSV) or via a password-protected web portal.
  2. We may change or add formats without notice.

5. Intellectual Property Rights

  1. All intellectual property in the database, Report methodology, content and design remains our exclusive property.
  2. Subscriber acquires no rights except the licence expressly granted in Section 2.

6. License Restrictions

Subscriber must not:

  • Copy, modify or create derivative works of any Report except for internal business use.
  • Reverse-engineer or extract data from our proprietary database.
  • Share Reports externally or with any third party. Corporate licences permit sharing only within the Subscriber’s organisation.

7. Disclaimers

  1. Reports are provided on an “as is” basis. We make no warranties, express or implied, regarding accuracy, completeness or fitness for any purpose.
  2. We are not responsible for market changes, data omissions or Subscriber’s business decisions based on Reports.

8. Limitation of Liability

  1. Our total liability for any claim arising from or in connection with these Terms is capped at the total Fees paid by Subscriber in the 12 months preceding the claim.
  2. We exclude all liability for indirect, incidental, special or consequential damages.

9. Indemnification

Subscriber agrees to indemnify and hold us harmless from any loss, liability, damage or expense arising out of Subscriber’s use or misuse of the Reports or breach of these Terms.

10. Term and Termination

  1. The licence term begins on the date of payment and continues for 12 months, renewing annually upon payment.
  2. We may suspend or terminate access immediately for non-payment or material breach.
  3. Upon termination, Subscriber must cease all use of Reports and delete all copies.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. Any dispute must first be referred to mediation before either party may commence court proceedings.

12. Miscellaneous

  1. These Terms constitute the entire agreement and supersede all prior arrangements.
  2. If any provision is held invalid, the remainder stays in force.
  3. We may update these Terms by posting revised terms; continued use constitutes acceptance.

13. Data Security

We implement and maintain appropriate technical and organizational measures to protect Subscriber data against unauthorized access, loss or disclosure. These measures are regularly reviewed and updated in accordance with industry standards.

14. Privacy

We collect, use and disclose personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. By subscribing, you consent to the practices described therein.

  • Collection: we gather only the personal information necessary to provide and manage your subscription (e.g., name, email, billing details)
  • Use: your data is used solely for Service delivery, billing, customer support and legal compliance
  • Disclosure: we do not sell or rent personal information; we may share with service providers strictly to support the Service or as required by law
  • Access & Correction: you may request access to, correction of or deletion of your personal information by contacting us at support@airlinemetrics.com
  • Retention: personal information is retained only as long as necessary to fulfill Service obligations or as required by law
